1. Acceptance of Terms
By accessing or using the website tdsscertifications.co.in or engaging TDSS Certification Services Private Limited ("TDSS") for any certification, audit, or inspection service, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
Please read these Terms carefully. If you do not agree to all provisions, you must not use our website or services.
2. Services Provided
TDSS provides third-party management system certification, audit, and related consultancy services in accordance with international standards including, but not limited to, ISO 9001, ISO 22000, and other ISO standards. Services are only rendered under a written agreement (Certification Agreement) signed between TDSS and the client organisation. These Terms supplement and do not replace the provisions of any such agreement.
TDSS reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.
3. User Responsibilities
When using our website or services, you agree to:
• Provide accurate, complete, and up-to-date information in all applications, forms, and communications. • Not misrepresent your organisation's scope, processes, or compliance status. • Comply with all applicable laws and regulations in your jurisdiction. • Not use our website for any unlawful, fraudulent, or harmful purpose. • Not attempt to gain unauthorised access to our systems or databases. • Not reproduce, distribute, or commercially exploit any content from our website without prior written consent.
4. Certification Process & Client Obligations
Clients engaging TDSS for certification services must:
• Grant auditors reasonable access to premises, personnel, records, and documentation during scheduled audits. • Notify TDSS promptly of any significant changes to the organisation's scope, ownership, processes, or management system. • Complete corrective actions within agreed timescales following audit findings. • Display certification marks only in accordance with TDSS's logo and certificate usage guidelines. • Not make misleading claims about certification scope or status.
Failure to comply may result in suspension or withdrawal of the certificate.
5. Certification Decisions & Impartiality
Certification decisions are made independently by TDSS's qualified auditors and certification decision-makers. Our decisions are based solely on the objective evidence gathered during the audit process and are not influenced by commercial or other interests.
TDSS will not issue, maintain, or renew certification where there is a material conflict of interest that cannot be adequately mitigated.
6. Fees & Payment
Certification and audit fees are specified in the quotation or Certification Agreement issued to the client. Unless otherwise agreed:
• Invoices are due within 30 days of the invoice date. • Late payments may attract interest at 1.5% per month on the outstanding balance. • TDSS reserves the right to suspend audit activities or withhold certificate issuance for overdue accounts. • Fees are non-refundable once audit activities have commenced, except where TDSS is at fault.
7. Intellectual Property
All content on this website — including text, graphics, logos, icons, images, and software — is the property of TDSS Certification Services Private Limited or its content suppliers and is protected by applicable intellectual property laws.
Certification marks and logos issued by TDSS may only be used by a certified organisation and strictly in accordance with TDSS's certification mark usage policy. Misuse of TDSS marks may result in legal action.
8. Confidentiality
TDSS treats all client information obtained during the certification process as confidential. We will not disclose client information to third parties without written consent, except where:
• Disclosure is required by law or court order. • Our accreditation body requires access to records for oversight purposes. • Public disclosure of certification status is required as part of our accreditation obligations (e.g., the public register of certified organisations).
9. Limitation of Liability
To the maximum extent permitted by applicable law, TDSS's total liability to you for any claim arising from or related to these Terms or the use of our services shall not exceed the total fees paid by you to TDSS in the three (3) months preceding the event giving rise to the claim.
TDSS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use our services.
Certification by TDSS does not guarantee that the certified organisation's products or services are free from defects, or that the organisation will always comply with its management system requirements.
10. Indemnification
You agree to indemnify and hold harmless TDSS Certification Services Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your fraudulent or misleading conduct; or (c) your violation of any applicable law or third-party rights.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Guwahati, Assam, India. The language of arbitration shall be English.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date. Continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
